Terms of Service

These Terms of Service ("Terms") govern your access to and use of AutoSAM.

AutoSAM is currently in an early-access, pre-general-availability phase: there is no live production infrastructure and payment processing is not yet enabled. See Section 2A below for what this means for the infrastructure, security, and billing representations made throughout these Terms and the documents they reference.

1. Eligibility and account responsibility

You must be at least 18 years old to use AutoSAM. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.

2. Service scope

AutoSAM provides monitoring, alerts, and workflow tools related to public-sector compliance and opportunity operations. We may update features over time, including adding, modifying, or retiring capabilities.

2A. Early Access; Pre-General-Availability Status

As of the Effective Date, AutoSAM is in an early-access phase and has not yet reached general availability ("GA"). During this early-access phase:

• No live production infrastructure. AutoSAM is not currently operating a live production environment for paid subscribers. References in these Terms and in the Service Level Agreement, Refund & Cancellation Policy, and Government & Enterprise Terms Addendum to features, infrastructure, security controls, data-processing operations, and billing capabilities that presuppose a live production environment shall be construed as forward-looking commitments that become binding on GovCertix LLC only upon written notice of GA to the customer.
• No payment processing. Payment processing and paid subscriptions are not currently enabled. No customer is being charged, and no order is being fulfilled for consideration. Any reference to Stripe billing, subscription renewal, or fees in these Terms and related documents describes the billing mechanism that will apply upon GA.
• Founding Cohort and Design Partner programs. GovCertix LLC operates two invite-only pre-GA programs: the Founding Cohort (up to 12 total accounts, 7 Assure Prime and 5 Consultant/RPO) and the Design Partner Program (up to 5 accounts). Participation in either program is governed by a separate written agreement (the Founding Cohort / Design Partner Addendum) in addition to these Terms. In the event of any conflict between such a written agreement and these Terms, the written agreement controls solely as to the participant.
• No warranty of GA date. GovCertix LLC does not warrant that GA will be reached by any particular date, or at all. GovCertix LLC reserves the right to modify, delay, or discontinue any feature described in these Terms prior to GA without liability.
• Forward-looking statements. Any statement in these Terms or in the Service Level Agreement, Refund & Cancellation Policy, or Government & Enterprise Terms Addendum regarding future functionality, service levels, infrastructure, security certifications (including without limitation SOC 2 Type II, FedRAMP, or CMMC-related representations), or data-handling practices is a forward-looking statement and is qualified in its entirety by this Section 2A. No customer or prospect shall rely on such statements as a present commitment or representation of fact.

2B. Product Depictions and Illustrative Graphics

Screenshots, product concept previews, mini evidence feeds, ledger rows, requirement sets, chip lists, tray items, dashboards, and any other graphical or tabular depictions of the AutoSAM product used on this website, in marketing materials, or in any pre-sales artifact are illustrative only. All entity names, subcontractor names, exclusion outcomes, screening results, attestation captures, registration lapses, requirement identifiers, timestamps, dollar figures, and other data points shown in such depictions are fictional and are used solely for the purpose of demonstrating the intended shape and layout of the product. Any resemblance to real entities, records, or events is coincidental.

Depictions may show features, capabilities, integrations, or user interfaces that are in development, planned, or subject to change, and may not reflect the current build state or feature availability of the AutoSAM product. GovCertix LLC makes no representation or warranty that any feature, screen, data point, layout, workflow, or integration shown in an illustrative depiction is currently available, will become available on any particular timeline, or will become available at all. Every capability statement associated with such a depiction is a forward-looking statement qualified in its entirety by Section 2A, and no customer or prospect shall rely on any such depiction as a present commitment or representation of fact.

Where a depiction is accompanied by an "Illustrative," "Concept," "Sample," "Fictional," or similarly-worded caption, badge, or footnote, that label is a courtesy notice pointing to this Section 2B; it does not create a separate legal representation, and its absence in any particular depiction does not narrow or waive the protection of this Section 2B, which applies to every product depiction on the marketing site whether or not individually labeled.

3. Billing and subscriptions

Paid plans are billed in advance through Stripe. Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle. You can manage or cancel from your billing settings. Fees already paid are non-refundable except as described in our Refund & Cancellation Policy or where required by applicable law.

4. Acceptable use policy

You agree not to misuse the service. Prohibited behavior includes, but is not limited to, scraping or bulk extraction beyond plan limits, reselling platform data without authorization, sharing account access outside your organization, and attempting to bypass security controls. 5. Compliance and third-party sources

AutoSAM may rely on third-party or public data sources. We do not guarantee continuous availability or absolute accuracy of external data. You remain responsible for your own legal, contractual, and regulatory obligations.

6. Intellectual property

AutoSAM and its content, software, and branding are protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable right to use the service during your subscription term.

7. Termination

We may suspend or terminate access for material breach, abuse, non-payment, or behavior that threatens platform integrity or other customers. You may stop using AutoSAM at any time.

8. Disclaimers and limitation of liability

AutoSAM is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, AutoSAM is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

8A. Aggregate Liability Cap

Subject to Section 8, GovCertix LLC's total aggregate liability arising out of or related to these Terms or the use of AutoSAM, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of (i) the fees paid or payable by Customer to GovCertix LLC during the twelve (12) months immediately preceding the event giving rise to the claim, and (ii) one hundred United States dollars ($100.00). The foregoing cap shall not apply to (a) Customer's payment obligations under Section 3, (b) either party's indemnification obligations under Section 14, (c) either party's breach of confidentiality obligations, (d) either party's gross negligence or willful misconduct, or (e) infringement of the other party's intellectual property rights. The parties agree that this limitation reflects an allocation of risk that is a material inducement to entering into these Terms.

9. Changes to these terms

We may update these Terms. If changes are material, we will update this page and adjust the effective date above.

11. Free tier and trials

AutoSAM may offer a Free or Risk-Scan plan at no cost. Free-tier access is provided without warranty of any kind, does not include uptime commitments or support SLAs, and may be discontinued, modified, or rate-limited at any time without prior notice. GovCertix LLC reserves the right to convert, sunset, or restrict free plans at its sole discretion.

12. Data processing

Business customers who require a Data Processing Agreement ("DPA") for GDPR, CCPA, or similar data-protection compliance may request or execute one at /legal/dpa. Execution of a DPA does not modify these Terms except to the extent expressly stated in the DPA.

13. User data ownership

You retain all ownership rights in your monitoring configurations, screening records, and exported data ("Customer Data"). AutoSAM's product architecture does not accept, process, or store uploaded contract documents or other customer files (ADR-UPLOAD-01); Customer Data therefore consists of the configurations you create in the service and the records the service derives for you, not documents you transmit to us. By using the service, you grant GovCertix LLC a limited, non-exclusive, royalty-free license to process Customer Data solely to operate, maintain, and improve AutoSAM. Upon termination, you may export your Customer Data in accordance with the then-current export functionality.

14. Indemnification

You agree to indemnify, defend, and hold harmless GovCertix LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use or misuse of the service, your violation of these Terms, or your violation of any applicable law or regulation.

15. Force majeure

Neither party shall be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to SAM.gov data source outages, government system unavailability, acts of God, natural disasters, pandemics, war, terrorism, labor disputes, internet or telecommunications infrastructure failures, or governmental actions.

16. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GOVCERTIX LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. USE OF THE SERVICE IS AT YOUR SOLE RISK.

17. Dispute resolution

Before initiating formal proceedings, you agree to attempt informal resolution by sending a written description of the dispute to legal@autosam.io. The parties shall negotiate in good faith for thirty (30) days. If the dispute is not resolved informally, either party may submit the matter to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules in Fairfax County, Virginia. Each party waives any right to participate in a class, collective, or representative action. Any claim must be brought within one (1) year after the cause of action arises, or such claim is permanently barred.

18. Governing law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any litigation not subject to arbitration under Section 17 shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and each party consents to personal jurisdiction therein.

19. General provisions

• Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any executed DPA, constitute the entire agreement between you and GovCertix LLC regarding AutoSAM.
• No waiver. Failure by GovCertix LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment. GovCertix LLC may assign these Terms or any rights hereunder without restriction. You may not assign or transfer these Terms without the prior written consent of GovCertix LLC.

20. Notices

All formal legal notices under these Terms must be delivered in writing. Notices from GovCertix LLC to you will be sent via one or more of the following methods:

• Email. To the email address associated with your AutoSAM account. Notices sent by email are deemed received on the date of transmission.
• In-app notification. For material changes to these Terms, we may display a prominent banner or notification within the AutoSAM application. Such notice is deemed received upon first login after the notification is posted.
• Postal mail. For legal process, subpoenas, or other formal legal communications, notices may be sent to the address on file for your organization.

Notices from you to GovCertix LLC should be sent to legal@autosam.io or to GovCertix LLC, Attn: Legal, 2461 Eisenhower Ave, Suite 200, Alexandria, VA 22314.

21. Document custody

AutoSAM's product architecture does not accept, process, or store Controlled Unclassified Information (CUI), International Traffic in Arms Regulations (ITAR)–controlled technical data, Export Administration Regulations (EAR)–controlled technical data, classified information, or other procurement-sensitive material, on the marketing site or the AutoSAM product. Do not upload, paste, or otherwise transmit CUI, ITAR/EAR-controlled data, classified information, or confidential contract terms through any AutoSAM surface, including free-text fields on this website.
